Statutes Alumni Organization Executive MBA University of Zurich
I. Name, registered office and purpose
Art. 1
An association exists under the name “EMBA Alumni UZH” within the meaning of Art. 60 ff. ZGB with its registered office at Stampfenbachstrasse 73, 8006 Zurich.
Art. 2
The purpose of the association is to promote the Executive MBA of the University of Zurich. It fulfills this purpose in particular in the following ways:
- It is committed to an Executive MBA program that sustainably increases the attractiveness of graduates on the job market.
- It maintains an active platform for networking among its members and thus provides access to a high-caliber network of experienced personalities.
- It offers a select and varied program of events.
- It regularly opens up exclusive internal and external training opportunities for alumni.
- It actively supports the University of Zurich in the acquisition of suitable personalities for participation in the Executive MBA program.
II Membership
Art. 3a
Membership can be acquired by
- Graduates of the Executive MBA University of Zurich.
- Graduates of the former Executive MBA program of the University of Zurich.
- Members of the teaching staff of the University of Zurich and guest lecturers of the Executive MBA program of the University of Zurich.
Art. 3b
Executive MBA students may acquire student membership for the duration of their studies. Upon successful completion of the Executive MBA, they automatically acquire full membership in accordance with Art. 3a.
Student membership entitles the holder to participate in all EMBA Alumni UZH events. Holders of student membership are entitled to vote and hold office. They can only be elected to the Executive Board once they have acquired ordinary membership in accordance with Art. 3a.
Art. 3c
Ordinary membership of the Association pursuant to Art. 3a also entitles the holder to membership of the association “OEC ALUMNI UZH - Alumni Economists University of Zurich - Association of Graduates of the Faculty of Business, Economics and Informatics of the University of Zurich” (hereinafter “OEC Alumni UZH”).
Art. 4
Individuals and institutions may be awarded honorary membership.
Art. 5
The Executive Board shall make the final decision on admission on the basis of a written application for membership.
Art. 6
Members may resign at any time by notifying the Board of Directors in writing. Membership fees remain due until the end of the current association year.
If a student completes the Executive MBA at the University of Zurich without graduating, student membership ends automatically at the end of the course.
Art. 7
The Executive Board may expel a member without giving reasons. In the event of late payment of the membership fee, expulsion may be enforced after the second unsuccessful reminder. The expulsion must be communicated in writing.
Art. 8a
The excluded member has the right to appeal to the Board of Directors for the attention of the General Meeting. This shall make the final decision. The appeal period is 20 days from notification of the exclusion decision.
Art. 8b)
Resignation or expulsion from the association also means resignation or expulsion from the OEC Alumni UZH association. The same applies mutatis mutandis in the event of resignation or exclusion from the OEC Alumni UZH Association with regard to membership of the EMBA Alumni UZH Association. Resigned or excluded members have no claim to the Association's assets.
III Organization
Art. 9
The bodies of the Association are
- The General Assembly
- The Board of Directors
- The auditors
General Assembly
Art. 10
The Association shall hold an ordinary General Meeting each year, which shall have the following powers:
- Election or dismissal of the President, the rest of the Board of Directors and the auditors (re-election for several terms of office is possible).
- Approval of the annual report, annual accounts and annual budget, acknowledgement of the auditors' report and discharge of the Board of Directors
- Passing resolutions on proposals from the Board of Directors
- Appointment of honorary members
- Deciding on appeals regarding the exclusion of members
- Passing resolutions on written proposals for amendments to the Articles of Association
- Dissolution of the association
Art. 11
The Annual General Meeting shall be convened by the Board of Directors at least 30 days before the meeting, stating the place, time and agenda.
Art. 12
An Extraordinary General Meeting shall be convened by resolution of the Board of Directors or if 1/5 of all members so request.
Art. 13
The General Meeting passes its resolutions and conducts its elections by open ballot with a majority of the votes cast by the members present, unless expressly decided otherwise. Art. 20 and 21 remain reserved.
If a candidate does not achieve an absolute majority in the first ballot, a second ballot is held. In the second ballot, the relative majority is decisive. New candidates may be nominated in the second ballot. Substitution is excluded.
Board of Directors
Art. 14
The Board of the Association consists of the President, the Vice-President and at least four other members, who are elected by the General Meeting for a period of three years. With the exception of the President, the Board constitutes itself. It has joint signatory powers. The Board of Directors is responsible for the management of the Association; in particular, it is responsible for the following tasks:
- It develops and approves the strategy, defines milestones and sets priorities for activities, prepares the budget and the annual financial statements.
- It examines suggestions regarding the promotion of the Executive MBA and forwards them to the university bodies with its opinion.
- It can delegate tasks to committees, commissions and organizations and issues the necessary regulations and signatory powers.
- It decides on expenditure within the budget approved by the General Assembly. It can also decide on its own authority on unbudgeted expenditure of CHF 10,000 per budget item and association year.
- It recruits members from the Executive MBA classes.
- It is responsible for public relations.
- It convenes and chairs the General Assembly.
- Submits the necessary motions for elections at the General Assembly.
- It submits proposals to the General Assembly for the appointment of honorary members.
- It appoints replacement members for Board members who have left or resigned until the next General Assembly.
- It decides on the admission and exclusion of members.
- It prepares amendments to the Articles of Association and submits corresponding proposals to the General Meeting.
- It decides on all association matters that are not expressly reserved for the General Meeting.
Auditors
Art. 15
The General Meeting elects two auditors for three years. They must audit the Association's accounts annually and submit a written report to the Ordinary General Meeting. The auditors do not necessarily have to be members of the Association.
IV. Finances
Art. 16
The financial resources consist of
- The annual membership fees
- Investment income
- Voluntary donations and patronage contributions
- Other donations of all kinds
Art. 17
The membership fee is CHF 150 per year. This includes the membership fee to be paid to OEC Alumni UZH. Honorary members and members pursuant to Art. 3b, including the year of graduation, are exempt from the membership fee.
Art. 18
Members shall only be liable for the liabilities of the Association and the OEC Alumni UZH Association up to the amount of the membership fee owed.
Art. 19
The Association's financial year is the calendar year.
V. Final provisions
Art. 20
The Articles of Association may be amended by any General Meeting with a majority of 2/3 of the members present, provided that the proposed amendments have been announced in writing in good time. Abstentions are not taken into account.
Art. 21
The Association can only be dissolved at a specially convened General Meeting if at least half of the members are present and 2/3 of the members present also decide to do so. Abstentions are not taken into account. If the attendance quorum is not reached, the quorum of votes in accordance with Art. 13 shall suffice at a second General Meeting to be held after two months at the earliest. After liquidation has been carried out, the Board of Directors shall decide on the use of the remaining surplus assets.
Art. 22
Convocations and notifications to members shall be made by letter or e-mail to the addresses recorded in the register of members.
Art. 23
These Articles of Association replace those of March 22, 2010 and were approved at the General Meeting of March 30, 2015 in Zurich and entered into force on the same day.
